1. Scope

These Terms of Service govern your use of the website automati.qa and any consulting, automation, or AI services provided by Automatiqa GmbH, Switzerland ("Automatiqa", "we", "us").

By using our website or engaging our services, you agree to these terms. If you do not agree, do not use the site.

2. Services

Automatiqa provides AI and automation consulting services for operations teams, including:

  • Workflow automation
  • Process intelligence and mapping
  • Agentic AI deployment
  • AI-driven operating systems

Service scope, deliverables, timelines, and fees are defined in individual project agreements ("Statements of Work") agreed separately with each client.

3. Engagement Model

Our standard engagement follows a structured process:

  1. Audit - assess current operations
  2. Blueprint - design the solution architecture
  3. Build - implement the solution
  4. Deploy - go live in your environment
  5. Handover - transfer ownership and knowledge

Typical engagement duration: 8 weeks. Specifics are agreed per project.

4. Intellectual Property

4.1 Client IP

All deliverables created specifically for a client under a Statement of Work become the client's property upon full payment. This includes custom workflows, integrations, dashboards, and documentation.

4.2 Automatiqa IP

Automatiqa retains ownership of:

  • Pre-existing tools, frameworks, and methodologies (including Flowigator, The Orchestrator, and Synthax)
  • Generic components, libraries, and templates used across projects
  • Website content, branding, and design

Clients receive a perpetual, non-exclusive licence to use Automatiqa IP delivered as part of their project.

5. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. This obligation survives termination for 2 years. Standard exceptions apply (public knowledge, independently developed, legally required disclosure).

6. Payment Terms

Unless otherwise agreed in a Statement of Work:

  • Invoices are payable within 30 days of issue
  • All prices are in CHF and exclude VAT (if applicable)
  • Late payments incur interest at 5% per annum (Art. 104 OR)

7. Limitation of Liability

To the maximum extent permitted by Swiss law:

  • Automatiqa's total liability is limited to the fees paid for the specific service giving rise to the claim
  • We are not liable for indirect, consequential, or incidental damages
  • We are not liable for loss of data, revenue, or profits

Nothing in these terms excludes liability for gross negligence or wilful misconduct (Art. 100 OR).

8. Warranties and Disclaimers

We deliver services with professional care and skill. However:

  • The website is provided "as is" without warranties of any kind
  • We do not guarantee uninterrupted or error-free operation
  • AI-generated outputs are tools, not substitutes for professional judgement
  • We do not guarantee specific business outcomes from our services

9. Website Use

You agree not to:

  • Use the website for unlawful purposes
  • Attempt to gain unauthorised access to our systems
  • Scrape, crawl, or automatically extract content without permission
  • Submit false information through contact forms

10. Termination

Either party may terminate a project engagement with 14 days written notice. Upon termination:

  • Client pays for all work completed up to the termination date
  • Automatiqa delivers all completed deliverables
  • Confidentiality obligations continue for 2 years

11. Force Majeure

Neither party is liable for delays caused by events beyond reasonable control, including natural disasters, pandemics, government actions, or infrastructure failures.

12. Governing Law and Jurisdiction

These terms are governed by Swiss law. Any disputes shall be submitted to the competent courts at the registered office of Automatiqa GmbH in Switzerland.

For consumers resident in the EU/EEA, mandatory consumer protection provisions of their country of residence apply.

13. Severability

If any provision of these terms is found invalid or unenforceable, the remaining provisions continue in full force.
